Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the HoverReel dashboard and embeddable video widget (together, the “Service”), operated by HoverReel LLC (“HoverReel,” “we,” “us,” or “our”).

By creating a HoverReel account, accessing the dashboard, or placing a HoverReel embed on your website, you (“Merchant,” “you”) agree to these Terms. If you do not agree, do not use the Service.

1. The Service

HoverReel lets a business embed shoppable, call-to-action-enabled video on their own website via a single embed snippet, without hosting the video files themselves. The Service consists of:

  • A web-based dashboard where you manage video content, tag it to products or actions, organize it into playlists, and configure one or more embeddable “Players.”
  • A set of embeddable widgets — publicly accessible JavaScript that you place on your own site to render the configured Player and collect basic viewing analytics from your own site's visitors.

The Service is currently offered on an invitation/beta basis. Account creation is not currently self-service; accounts are provisioned directly by us.

2. Eligibility and Accounts

  • You must be at least 18 years old and able to form a binding contract to use the Service.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You must provide accurate account information and keep it up to date.
  • Notify us promptly at [email protected] if you suspect unauthorized access to your account.

3. Your Content

  • You own your content. Any video, image, product/action data, or other material you upload or link through the Service (“Merchant Content”) remains yours.
  • License to us. You grant HoverReel a worldwide, non-exclusive, royalty-free license to host, store, transmit, publicly display, and otherwise process your Merchant Content solely as necessary to operate and provide the Service to you (for example, storing and streaming a video you upload, or rendering a product's price and image inside your embedded widget).
  • Your responsibility for content. You represent and warrant that you have all rights necessary to upload, link, and display your Merchant Content through the Service, and that it does not infringe any third party's intellectual property, privacy, or other rights, and does not violate any applicable law.
  • Prohibited content. You will not use the Service to host or distribute content that is illegal, infringing, defamatory, fraudulent, or that violates the rights of others.

4. Acceptable Use

You agree not to:

  • Use the Service to attack, disrupt, or gain unauthorized access to HoverReel's systems or another user's account or content.
  • Attempt to circumvent rate limits, domain restrictions, or other technical safeguards built into the Service.
  • Use the Service in a way that violates any applicable law or the rights of any third party, including intellectual property, privacy, and consumer-protection laws.
  • Misrepresent the origin or nature of your embedded widget, or use it to deceive your own site's visitors.
  • Resell, sublicense, or provide the Service to a third party as if it were your own, without our prior written consent.

We may suspend or terminate access for a violation of this section, as described in Section 9.

5. Third-Party Services

The Service integrates with, or is designed to run alongside, third-party platforms and services that you may separately use — most notably Shopify (for a lean, optional “add to cart” integration) and video-hosting infrastructure provided by our own subprocessors (see our Privacy Policy for the current list). Your use of any such third-party platform is governed by that platform's own terms, and you are solely responsible for your own compliance with them. HoverReel is not responsible for the availability, accuracy, or conduct of any third-party platform.

6. Fees

The Service is currently provided free of charge during its beta period. We may introduce paid plans in the future; if we do, we will provide advance notice before any fee applies to your account, and continued use of a paid feature after that notice constitutes acceptance of the applicable fee.

7. Intellectual Property

Other than Merchant Content, the Service — including its software, design, branding, and documentation — is owned by HoverReel and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the dashboard and to embed the widget on websites you own or operate, solely for the purpose of using the Service as intended. You may not copy, modify, reverse-engineer, or create derivative works of the Service itself, except as the widget's own public embed mechanism necessarily allows.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY ANALYTICS OR OTHER DATA PROVIDED THROUGH THE SERVICE WILL BE ACCURATE OR COMPLETE.

9. Termination

  • You may stop using the Service and request account deletion at any time by contacting [email protected].
  • We may suspend or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, misused the Service, or if continuing to provide the Service to you would create a legal or security risk.
  • Upon termination, your right to use the Service ends immediately; Sections 3 (as to content already processed), 7, 8, 10, and 11 of these Terms survive termination.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOVERREEL AND ITS OWNER(S) WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless HoverReel and its owner(s) from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your Merchant Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third party's rights.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state and federal courts located in Lucas County, Ohio (the county where HoverReel LLC's principal business address is located), and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version here with a new “Last updated” date. For material changes, we will make reasonable efforts to notify you directly. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
